Amending Your Corporation or LLC

Simply stated, an amendment to your corporation or limited liability company is a formal filing with the state of registration that officially changes your company structure. Amendments can be very simple or very complex.

Examples of simple amendments are:

  • Amendment.jpgA name change. You may decide that your company name does not fully describe your business, or that you just don't like your company name anymore. Instead of forming a whole new corporation or LLC, you can elect to change "Amend" the name.

  • A stock change. In the case of a corporation, if your company is growing and you need to raise additional capital (operating funds), you can issue stock. If you started your corporation with the "minimum" stock amount like most companies do, you can increase the amount of authorized stock by filing an amendment with the state.

  • Directors or Members. If the directors or members of the company are listed on the Articles of Incorporation or Organization, and you need to change them due to a owner / management change, you can change that information by filing an amendment.

When you file an amendment to your corporation or LLC with the state, your Federal Tax ID does not change, since it is still the same legal entity. However, you will need to notify the Internal Revenue Service (IRS) of the change.

In order to file an amendment you need to complete a "Certificate of Amendment" that states what is being changed, how the change was adopted and when it is effective. The completed document must then be sent to the state of registration, along with the appropriate fees.

Amendment Process

When American Incorporators receives your amendment order, we will:

  • Prepare the Certificate of Amendment and send it to you for your signature. Most states require that the documents be signed by an officer of the corporation or by a member of the Limited Liability Company.

  • Once you return the signed documents back to American Incorporators, we will review the forms to make sure they have been fully and accurately completed.

  • If the requested amendment is a name change, we will then perform a preliminary name check (if it has not been done already) to make sure that the name you want to use is available.

  • We'll send the completed amendment certificate to the state of registration for filing using our nationwide network.

  • Once the state has approved the change, we will forward the completed filed evidence back to you as proof of the filing.
