The Registered Agent is responsible for receiving and forwarding important legal and tax documents including: Service of Process (lawsuits), Franchise Tax and/or Annual Reports and official or governmental forms and notices for corporations or LLCs.
Almost every state requires corporations and LLCs to designate a Registered Agent, (also called a Resident Agent) in the state where the company is incorporated or registered to do business.
The registered agent can be an individual or a company approved by the state. The registered agent must have a physical address (no PO boxes) in the state where the company is registered. The registered agent must be available during "normal" business hours. The registered agent's name and address are included in the formation documents, which become a matter of public record.
