What is a Registered Agent?

The Registered Agent is responsible for receiving and forwarding important legal and tax documents including: Service of Process (lawsuits), Franchise Tax and/or Annual Reports and official or governmental forms and notices for corporations or LLC's.

Almost every state requires corporations and LLC's to designate a Registered Agent, (also called a Resident Agent) in the state where the company is registered to do business.

The Registered Agent can be an individual or a company approved by the state. The registered agent must have a physical address (no PO boxes), in the state where the company is registered. The registered agent must be available during "normal" business hours. The registered agent's name and address are included in the formation documents, which becomes a matter of public record.

American Incorporators Ltd. provides low cost Registered Agent service in all 50 states and the District of Columbia.

The cost for American Incorporators to act as your agent for a Delaware corporation or limited liability company is $129.00 per year. And if you form your new corporation or LLC with American Incorporators, the Registered Agent service is FREE for the balance of the calendar year.

For all other states our annual registered agent fee is $149.00. Again, if you form your new corporation or LLC with American Incorporators, the registered agent service is FREE for one full year from date of formation.

Once we have your order, we will prepare the Change of Agent documents and then (if required) email, fax or mail the documents to you for your signature. Once the documents are signed, please return them to American Incorporators for final processing and submission to the state.
