Corporate Name Identifiers:
The name that you choose for a Maryland corporation must be distinguishable from any other registered or authorized Maryland business entity and any reserved names on record. The name of the corporation must contain one of the following words as a corporate identifier:
Corporation, "Incorporated", "Limited" or contain the abbreviation "Inc.", Corp." or "Ltd.". The name may also contain or end with the word "Company" which can never be preceded by the word "and" or the symbol "&".
Specific Purpose Requirements:
Maryland does not require a specific purpose to be listed in the Certificate of Incorporation.
Directors:
Maryland has the following director requirements for a corporation.

Directors are required to be listed in the Articles / Certificate of Incorporation.
Officers:
Officers (President, Vice President, Secretary and Treasurer) are not required to be listed in the articles / certificate of incorporation.
Stock Information:
The "standard" number of authorized shares in Maryland is 1000 shares, with "no-par" value. An increase in the number of authorized shares or par value may affect the initial filing fees.
Annual Filing Requirements:
There is an annual report that must be filed with the personal property return that must be received (postmarked) by the state of Maryland by April 15th. The fee for this filing is: $300.00

S Corporation status is recognized by the State of Maryland. A state election, separate from the federal election, is not required.
