Non-Profit Corporation Name Identifiers:

The name that you choose for a Massachusetts Non-Profit Corporation must be distinguishable from any other registered or authorized Massachusetts business entity or any reserved names on record. The name of the corporation must contain one of the following words as a company identifier:

The corporation may assume any name indicating it is incorporated.

Specific Purpose Requirements

Massachusetts does not require a specific purpose to be listed in the Certificate of Formation.  However, in order to qualify for Tax Exempt Status with the IRS, a specific purpose must be included in the Certificate of Formation, as well as other specific requirements (See Below).

License Requirements

Massachusetts requires most businesses to obtain a business license and pay a fee if operating in the state. Please check with the state to make sure your business is complying with the licence requirements for your particular profession.

In order to qualify your Non-Profit Corporation as a tax exempt entity for Federal Tax purposes, the company must file an Application for Recognition of Exemption (either IRS form 1023 for charitable organizations, or IRS form 1024 for other tax exempt organizations).
